General Information

On June 7, 2015, Health Diagnostic Laboratory, Inc. ("HDL") and two (2) affiliated entities (collectively with HDL, the "Debtors") filed voluntary petitions in the Eastern District of Virginia, Richmond Division, seeking relief under the provisions of Chapter 11 of the United States Bankruptcy Code. The case is pending before the Honorable Kevin R. Heunnekens.  The cases are being jointly administered for procedural purposes, meaning that all pleadings filed in the cases will be reflected on the case docket for Health Diagnostics Laboratory, Inc., Case No. 15-32919.  The Debtor continues to operate its business and manage its properties as a Debtor-in-Possession.

Plan Confirmation

NOTICE OF (I) ENTRY OF ORDER CONFIRMING SECOND AMENDED PLAN OF LIQUIDATION PROPOSED BY THE DEBTORS (II) OCCURENCE OF EFFECTIVE DATE AND (III) DEADLINE FOR FILING ADMINISTRATIVE EXPENSE CLAIMS,FEE CLAIMS, AND CLAIMS ARISING FROM REJECTION OF EXECUTORY CONTRACTS OR UNEXPIRED LEASES

   PLEASE TAKE NOTICE THAT:

  1. Confirmation of the Plan.  on May 12, 2016, the United States Bankruptcy Court for the Eastern District of Virginia entered an order (the “Confirmation Order”), confirming the Second Amended Plan of Liquidation Proposed by the Debtors [Docket No. 852] (as confirmed,the “Plan”).
  2. Effective Date.  The Effective Date of the Plan occurred on May 12, 2016.
  3. Administrative Claims Bar Date.  The Administrative Claims Bar Date for applications or requests for payment of Administrative Claims (including but not limited to Professional Fee Claims) shall be the date that is thirty (30) days after the Effective Date.  FAILURE TO TIMELY AND PROPERLY FILE SUCH AN APPLICATION SHALL RESULT IN THE ADMINISTRATIVE EXPENSE CLAIM BEING FOREVER BARRED AND DISALLOWED.
  4. Fee Application Deadline. Pursuant to Section 2.4 of the Plan, all applications for payment of Fee Claims incurred prior to the Effective Date must be filed with the Court by the date that is forty-five (45) days after the Effective Date. FAILURE TO TIMELY AND PROPERLY FILE SUCH FEE APPLICATION SHALL RESULT IN THE FEE CLAIM BEING FOREVER BARRED AND DISALLOWED.
  5. Rejection Damages Claims Bar Date.  Pursuant to section 8.2 of the Plan, all proofs of Claim with respect to Claims arising from the rejection of executory contracts or unexpired leases, to the extent not subject to an earlier Bar Date set by Order of the Bankruptcy Court, must be filed with the Bankruptcy Court and served on the Liquidating Trustee within thirty (30) days after the date of notice of the entry of the Order of the Court rejecting the executory contract or unexpired lease which may include, if applicable, the Confirmation Order. FAILURE TO TIMELY AND PROPERLY FILE SUCH CLAIMS SHALL RESULT IN THE CLAIMS BEING FOREVER BARRED AND DISALLOWED.

Confirmation Hearing

PLEASE TAKE NOTICE that on March 29, 2016, at 10:00 a.m. prevailing Eastern Time or as soon thereafter as counsel may be heard, a hearing will be held before the Honorable Kevin R. Huennekens, at the United States Bankruptcy Court for the Eastern District of Virginia, Richmond Division, 701 East Broad Street, Room 5000, Richmond, Virginia 23219 to consider confirmation of the Plan, as the same may be further amended or modified, and for such other and further relief as may be just and proper (the “Confirmation Hearing”).  You can obtain a complete copy of the Confirmation Hearing Notice by clicking here.  You can view the Amended Disclosure Statement by clicking here. PLEASE TAKE FURTHER NOTICE that the Confirmation Hearing may be adjourned from time to time by the Court without further notice except for an announcement of the adjourned date made at the Confirmation Hearing.  Additionally, the Plan may be modified in accordance with the Bankruptcy Code, the Federal Rules of Bankruptcy Procedure and other applicable law, without further notice, prior to or as a result of the Confirmation Hearing.


Deadline for Voting on the Plan

PLEASE TAKE NOTICE THAT, pursuant to the Disclosure Statement Order, the Court established March 22, 2016, at 5:00 p.m. prevailing Eastern Time (the “Voting Deadline”) as the deadline by which Ballots accepting or rejecting the Plan must be actually received.  To be counted, your original signed Ballot  must actually be received on or before the Voting Deadline by American Legal Claim Services LLC (the “Balloting Agent”) at Health Diagnostic Laboratory, Inc. Ballot Tabulation Center c/o American Legal Claim Services, LLC, P.O. Box 23650, Jacksonville, FL 32241-3650.  Ballots received by facsimile, e-mail or other means of electronic transmission will not be counted.


Approval of Disclosure Statement

PLEASE TAKE NOTICE THAT, by Order dated February 12, 2016 (the “Disclosure Statement Order”), the United States Bankruptcy Court for the Eastern District of Virginia (the “Court”) approved the Amended Disclosure Statement Accompanying Second Amended Plan of Liquidation Proposed by the Debtors, dated February 11, 2016 (the “Disclosure Statement”), as containing adequate information within the meaning of section 1125 of title 11 of the United States Code, 11 U.S.C. §§ 101-1532 (as amended, the “Bankruptcy Code”).

Auction Procedures and Notice

Please Take Notice that on July 15, 2015 the Order (I) Approving the Strategic Transaction Bidding Procedures, (II) Scheduling Bid Deadlines and the Auction, (III) Approving the Form and Manner of Notice Thereof and (IV) Granting Related Relief, was entered at Docket Number 265. The Strategic Transaction Bidding Procedures Order established the following dates and deadlines in connection with the Auction:
  1. Preliminary Indications of Interest:  August 20, 2015, at 5:00 p.m. (prevailing Eastern Time), is the deadline by which all Preliminary Indications of Interest must be actually received by the Debtors, counsel to the Debtors, and the Debtors’ proposed investment banker, in the form and manner specified in the Strategic Transaction Bidding Procedures, in order for an interested party to become a Qualified Bidder.

  2. Bid Deadline:  September 4, 2015, at 5:00 p.m. (prevailing Eastern Time), as the deadline by which all Bids must be actually received by the Debtors, counsel to the Debtors, the Debtors’ proposed investment banker and proposed counsel to the UCC and BB&T, in the form and manner specified in the Strategic Transaction Bidding Procedures.

  3. Auction:  September 10, 2015, at 10:00 a.m. (prevailing Eastern Time) as the date and time of the Auction, which will be held at the offices of Hunton & Williams, LLP, Riverfront Plaza, East Tower, 951 East Byrd Street, Richmond, Virginia 23219. 

  4. Sale Hearing (if the Successful Bid contemplate a Sale):  September 16, 2015, 10:00 a.m. (prevailing Eastern Time) or as soon thereafter as counsel may be heard, which will be held before the Honorable Kevin R. Central Medical Laboratory Auction Procedures and Notice

Please Take Notice that on August 3, 2015 the Order (I) Approving Bidding Procedures for the Sale of All or Substantially All of the Assets of Central Medical Laboratories LLC (II) Scheduling Bid Deadlines and the Auction (III) Approving the Form and Manner of Notice Thereof and (IV) Granting Related Relief, was entered at Docket Number 333. The CML Bidding Procedures Order established the following dates and deadlines in connection with the Auction:
  1. Preliminary Indications of Interest:  August 13, 2015, at 5:00 p.m. (prevailing Eastern Time), is the deadline by which all Preliminary Indications of Interest must be actually received by the Debtors, counsel to the Debtors, and the Debtors’ proposed investment banker, in the form and manner specified in the CML Bidding Procedures, in order for an interested party to become a Qualified Bidder.

  2. Bid Deadline:  August 18, 2015, at 5:00 p.m. (prevailing Eastern Time), as the deadline by which all Bids must be actually received by the Debtors, counsel to the Debtors, the Debtors’ proposed investment banker and proposed counsel to the UCC and BB&T, in the form and manner specified in the CML Bidding Procedures.

Creditors are welcome, but not required, to attend the meeting. The Meeting of Creditors may be continued or adjourned by notice at the meeting, without further written notice to creditors.
